TeleCorp Tritel Merger Benefits

Benefits Information
A merger represents a time of change, and one of the most often asked questions is: How will my benefits be affected? Each company has a remarkable benefits program, and we intend to continue this tradition following the merger. With close to 3,000 employees, we now have more leverage when negotiating with carriers for group employee benefit plans. This means we are able to provide excellent benefits coverage, utilizing nationally known health care and other providers, while keeping cost increases to a minimum.

We are excited to announce that beginning January 1, 2001, we have combined our benefit plans for medical/prescription, dental, vision, life, disability, and the flexible spending accounts. (The benefit plans for our Puerto Rico employees will remain the same as CY2000). A joint HR team, consisting of TeleCorp and Tritel employees, developed a comprehensive communications plan including printed materials, employee benefits briefings, along with the ease of web-based enrollment. You will be receiving more detailed information regarding each of the plans in the coming days. Here are some of the highlights of the new benefits program (please refer to your enrollment guide and plan documents for detailed information on coverage and any limitations):

Medical/prescription:
We are providing a PPO (preferred provider organization) plan with two options – PPO Plus and PPO Basic—administered by “CareFirst”, a BlueCross BlueShield organization. Prescriptions are covered under both options.

Vision:
Our vision plan is offered through Vision Services Plan (VSP) and provides coverage by utilizing VSP’s national network of providers. Coverage for annual exams, eyeglasses, contacts, and a discount on laser vision correction is available through this program.

Dental:
This coverage is also offered through CareFirst, and is a separate benefit from the medical plan. Dental benefits include preventive, basic, major and orthodontia services provided by any licensed dentist.

Basic Life/AD&D:
Eligible employees will receive basic life and accident coverage through UNUM in the amount of one times base salary (plus target commissions for sales employees) at no cost to you.

Optional Life/AD&D:
In addition to the basic life and accident coverage, eligible employees may purchase up to 5x base salary (plus target commissions for sales employees) of optional life/AD&D coverage (maximum of $600,000 combined with basic coverage).

Spouse and Dependent Life/AD&D:
Eligible employees may purchase life/AD&D coverage for their spouses and dependents. (Employee participation is required and coverage maximums apply.)

Short-and Long-term Disability:
Full-time employees working at least 30 hours per week will receive both short-term and long-term disability coverage at no cost. This coverage is offered through UNUM.

Flexible Spending Accounts:
We will continue to offer both health care and dependent care flexible spending accounts. Benicor Associates will be the administrator for these accounts.

Employee Assistance Program (EAP):
UNUM is also the provider of our Employee Assistance Program (EAP) for all US-based employees. The program is called LifeBalance and offers counseling and referral services for all employees and their immediate family members. This benefit is provided to all employees (regardless of eligibility for other benefits) at no cost.

In addition to the communication guide, you will also be receiving information regarding scheduled benefits briefings. These briefings will give you the opportunity to ask any additional questions you may have regarding the new benefits plans.
